1.1. These terms of use are applied to the kunnonsalkku.fi website and mobile services associated with it, as maintained by Hannula Ventures, a company incorporated and organized by the laws of Finland with its principal address of business at PL 24, 10601 Tammisaari, Finland (later referred to as “Kunnon Salkku” or “Service”). Kunnon Salkku is an online service provider helping private investors to manage their stock portfolio. Kunnon Salkku is not a bank, investment bank or a financial advisor nor does it give any kind of financial advice.
1.2. Use of Kunnon Salkku requires registration to the service. A registered user is referred as User. As part of the registration process, each User undertakes that he/she has read this UserAgreement and accepted the terms and conditions set forth in this UserAgreement. The applicable User Agreement may be obtained at any time by visiting http://www.kunnonsalkku.fi.
1.3. In addition to this UserAgreement, the User agrees to follow any policy of use or other instructions regarding the use of the site, as set forth on Kunnon Salkku from time to time.
2.1. Registered Users of KunnonSalkku have the right to use the site according to this User Agreement and other policies and instructions given by Kunnon Salkku. When registering, theUser needs to provide Kunnon Salkku with appropriate user information, such as name, address, and contact details, in order for Kunnon Salkku to identify eachUser properly. Each user needs to provide an email address, that will also be used as user ID, as well as choose a password for using Kunnon Salkku A full personal name will need to be registered for each user, regardless of whether they use the site as a private individual or through a legal entity. Use of aliases or anything else other than a real name is prohibited. Providing false identity and contact information is a crime in many jurisdictions.
2.2. Any individual who wants to register as a User to Kunnon Salkku, needs to be at least 18 years old. A legal entity may also register as a User, but it needs to be represented by a natural person with the authority to act on behalf of the legal entity. Any legal entity will appear on Kunnon Salkku through a private individual, whose name also appears on Kunnon Salkku profile.
2.3. Kunnon Salkku has sole the discretion on deciding whether an applicant is eligible for registration on the site or not.
2.4. Kunnon Salkku grants the User with a limited, non-exclusive right to use the Kunnon Salkku. The User does not ave the right to link, deep link, record, display in public, relay, forward, rebroadcast or use Kunnon Salkku or any information/content obtained through Kunnon Salkku or part thereof, except to the extent allowed by this UserAgreement and Copyright law. The User undertakes to keep his User Information reasonably up to date.
2.5. Kunnon Salkku has the right to use User Information for the purpose of maintaining Kunnon Salkku and related services (especially emails related to upkeep of the site and its services), informing about the activities and services of Kunnon Salkku, development of Kunnon Salkku, its offerings, services and using any User Information for statistical or market research purposes for Kunnon Salkku. All UserInformation is stored in Kunnon Salkku User Database. Kunnon Salkku PrivacyPolicy, as well as description of the Kunnon Salkku User Database as required by the Data protection legislation of Finland, are available at http://www.kunnonsalkku.fi
2.6. Kunnon Salkku may also offer services that have a fee payable to Kunnon Salkku associated with such service (“Paid Services”). Any Paid Service will clearly be identified as such on the Kunnon Salkku. In order to use PaidServices, a set fee must be paid to Kunnon Salkku for each service or performance. These fees may either be one-time type registration fees, time-related fees, use related fees, or it may be defined in another manner. Kunnon Salkku may change fees charged for Paid Services at any time at Kunnon Salkku's sole discretion. A free service maybe also be changed to a Paid Service or vice versa. If any fee applicable or attributed to the use of Kunnon Salkku is changed, a notice will be posted by email to all registered users and on KunnonSalkku. The change will take effect 14 days after the relevant notice has been mailed to users and posted on Kunnon Salkku.
3.1. The User ID and password are confidential, and they may not be given to any 3rd party or person.Each User is responsible for all use performed on Kunnon Salkku under his/herUser ID and password. In case the password has been compromised to a 3rd party or other misuse is suspected, the User must immediately notify KunnonSalkku of such occurrence.
3.2. The User is responsible for all costs and charges related to the use of Kunnon Salkku, whether payable to otherUsers, Kunnon Salkku, internet service providers or other 3rd parties
3.3. The User undertakes to abide bythe rules set forth in this User Agreement, other rules and policies set by KunnonSalkku as well as follow the laws and regulations of the applicable country.
3.4. The User makes the obligation of not sending, transmitting or saving any material on Kunnon Salkku, that is against the law, nor will he solicit any 3rd parties to do so. The User also undertakes not to send, transmit, forward or store any material that is protected by copyright, trademark, or other intellectual property right, unless authorized by the rights owner to do so.
3.5. The User will use the KunnonSalkku and any service therein with his own risk and will also be responsible to obtain and maintain any equipment (such as computer), connection (such as internet-connection) and software (such as web-browsing software) with his/her own means.
4.1. Kunnon Salkku is normally available 24 hours a day. However, Kunnon Salkku has the right, at its sole discretion, to make the website, mobile app and on-line service temporarily offline in order to perform maintenance, installations, changes, or to address system overload or any other problem caused by requirements of maintenance, public order, safety or force majeure. Kunnon Salkku will endeavor to inform of such interruptions of its website and online-service well in advance whenever possible.
4.2. Kunnon Salkku will not be responsible for any interruption on its service caused by electricity outage orshortage, disruption of internet connections, natural disaster, war, mutiny, nuclear disaster, or other force majeure event.
4.3. Kunnon Salkku will not guarantee or warrant, that its service will be fit for any particular purposeor that its service will operate without interruptions and errors.
4.4. Kunnon Salkku is not responsible for the contents of Kunnon Salkku or correctness or accuracy of any information on its website or mobile app.
4.5. Kunnon Salkku will not be responsible for any direct or indirect damages arising out interruption or disconnection of Kunnon Salkku, or any incomplete or inadequate information represented on its website may cause to any party.
4.6. Kunnon Salkku has the right to remove any content that is unauthorized either by law, regulation, this UserAgreement or any Kunnon Salkku policy of use, or that Kunnon Salkku will in its sole discretion deem to be against public order, contains an error, harmful or unfit to Kunnon Salkku, its Users or a 3rd party.
4.7. Kunnon Salkku has the right to remove (suspend) any User that is or has been in violation of this UserAgreement, applicable regulations or law. User may be suspended on temporarily basis or indefinitely as deemed appropriate by Kunnon Salkku.
4.8. Kunnon Salkku and its services are protected by copyright in Finland and other countries as provided by international conventions. Kunnon Salkku contains material protected by copyright, trademark and other intellectual property rights, including the right to database. User will have no license or permission to copy, transmit, store, publish, make available on internet or other network, any protected material unless authorized by law or with the prior written permission ofKunnon Salkku.
4.9. Kunnon Salkku is the sole owner of all the material and data (including databases) on Kunnon Salkku. Any use, publication, transmission or making available of such material and data is forbidden without a prior written consent of Kunnon Salkku.
5.1. The registration and processing of user data shall be performed in accordance with the applicable data privacy legislation. The information on all registered Users shall be held at the KunnonSalkku client database, which shall be used to maintain client-relationship and all aspects of the service provided on Kunnon Salkku. Contact and other information provided by the User (such as email address and/or phone number) shall not be used, sold or transferred to a 3rd party for marketing purposes without a prior consent of each User. 5.2. Kunnon Salkku may give information on Users to authorities as may be required by law or other regulations.
5.3. Kunnon Salkku does not collector process so-called sensitive personal information on Users, such as race, religion, health, etc.
5.4. Kunnon Salkku may place“Cookies” on Users' computers in order to collect information on time and usage of the Kunnon Salkku. This information is collected for the purpose of improving Kunnon Salkku and user experience. Furthermore, this information will be utilized on assessing number of individual users of Kunnon Salkku. The data collected by Cookies is not used to recognize individual users.
5.5. All personal information collected will be treated in a secure manner. Kunnon Salkku endeavors to use various technical means and developments thereof, to minimize the risk of unauthorized access, misuse of data and inaccuracy of data. However, no technical solution is 100% secure against misuse, and there will always be certain amount or risk involved in collecting and processing personal information.
6.1. Kunnon Salkku has the right to change the terms and conditions of this User Agreement by informing its Users of the changes either by email and/or displaying a notification on the home page or the app of Kunnon Salkku. The changes will take effect 14 days after the email has been sent and/or the notification has been posted on Kunnon Salkku.The User will accept the changes by continuing to use the Kunnon Salkku.
6.2. After receiving the information on changes via email or Kunnon Salkku, User may terminate this User Agreement and cease using the site before the changes enter into effect. The User must, however, settle any outstanding invoices and payable to Kunnon Salkku before the termination of User Agreement takes effect.
7.1. This agreement becomes valid after User accepts it on Kunnon Salkku, and Kunnon Salkku grants the User access to its website and on-line service. In case Kunnon Salkku refuses, atits sole discretion, access to Kunnon Salkku, this User Agreement, or any part of it, will not come into force.
7.2. This agreement shall be in force indefinitely. Both parties may terminate the User Agreement and all ther elated services with immediate effect either by email or using Kunnon Salkku. However, before the termination takes full effect, the User must pay all outstanding fees and bills due to Kunnon Salkku.
7.3. Both parties shall be free of fulfilling the obligations of this Agreement for the time and scope dictated by circumstances outside of control of each Party. Circumstances outside of control shall be considered as a sudden, unexpected and unforeseen circumstances, that could have not been avoided by either party. At least the following types of incidents shall be counted as such: war, mutiny, confiscation by authorities, interruption on electricity or internet traffic, strike or other labour action, fire, thunderstorm or other natural disaster, orany other unusual incident that has a major impact on either Party's ability to fulfill the agreement, that is beyond control of the affected party.
8.1. Kunnon Salkku has the right to transfer this agreement to a 3rd party in case Kunnon Salkku and its services have been sold or transferred to the said 3rd party.
8.2. Kunnon Salkku has the right to transfer this Agreement to another company that belongs to the same group of companies as Kunnon Salkku, or to a company owned by Kunnon Salkku and or Ha.
8.3. The User has no right to transfer this Agreement as the right to use is personal even in the case whereUser acts through a legal entity.
9.1. This agreement shall be governed by the laws of Finland.
9.2. Any disputes arising betweenUser and Kunnon Salkku shall be settled via negotiations, where possible. If negotiations are unsuccessful, either Party may take the matter to theHelsingin käräjäoikeus (Helsinki City Court).
